Tāiko Critical Minerals Limited (NZX:TCM) advises that at the annual meeting of shareholders, held today on 13 August 2026, shareholders were asked to vote on seven ordinary resolutions. As required by NZX Listing Rule 6.1, all voting was conducted by a poll.
The following ordinary resolutions were all passed:
Resolution 1: that the Board authorise and fix the Auditor’s fees and expenses for the ensuing year.
Resolution 2: Re-election of Philip Thick as a director.
Resolution 3: Re-election of Geoffrey Donohue as a director.
Resolution 4: Re-election of Christine Pears as a director.
Resolution 5: Re-election of Francois Tumahai as a director.
Resolution 6: Approval of directors’ remuneration pool of $600,000 per annum.
Resolution 7: Ratification of the placement of 28,000,000 shares on 7 July 2026 at an issue price of $0.25, to refresh the Company’s 15% placement capacity.

Tāiko Critical Minerals Limited (“Tāiko”, “TCM” or “the Company”) (NZX:TCM) advises that On 10 August 2026, the Fast-Track Panel Convener issued a minute announcing the appointment of the following people to the expert panel:
John Maassen (chair) – joint nominee from WCRC, GDC and Te Rūnunga o Ngāti Waewae;
Sharon Dines; and
Cameron Lines.
The Expert Panel will commence work on 17 August 2026 and is due to make a decision on the Company’s Fast Track application by 8 December 2026, subject to any delays.

At Tāiko Critical Minerals Limited’s shareholder meeting, held today on 29 July 2026, shareholders passed the following special resolution.
That, for the purposes of section 129(1) of the Companies Act 1993, the entry into, performance and completion by Tāiko Critical Minerals Limited of the sale and purchase agreement dated 22 June 2026 between Tāiko Critical Minerals Limited and Barrytown Farms Limited relating to the acquisition of the Barrytown Farms property:
for a purchase price of NZ$18,000,000 plus GST, if any, as adjusted in accordance with that agreement; and
all other terms and conditions as set out in that agreement be approved.

Tāiko Critical Minerals Limited (Taiko or the Company) (NZX:TCM) is pleased to announce a non-underwritten share purchase plan (SPP) at a price of $0.25 per share. The maximum aggregate issue size of the SPP is 12 million shares at $0.25 per share to raise a maximum of $3 million.
The SPP follows on from the placement of 28,000,000 ordinary shares to institutional and wholesale investors at an issue price of $0.25 per share, raising $7 million announced on 6 July 2026 (refer https://www.nzx.com/announcements/475657).
Under the SPP, eligible shareholders may apply for shares in Tāiko at NZ$0.25 per Share. Applications may be made for a minimum of NZ$10,000 and up to a maximum of NZ$50,000.
The Offer is available only to “eligible” shareholders, being those shareholders who were recorded on Tāiko’s share register at 5.00pm NZT on the Record Date (15 July 2026), whose registered address is in New Zealand, and who are resident in New Zealand. The Offer is not available to shareholders outside New Zealand or to any person who is acting for the account or benefit of a person outside New Zealand.
Participation in the Offer is optional. If you do not participate, your existing shareholding will not change, although your percentage holding in Tāiko may be diluted as a result of shares issued under the SPP.
In the event of oversubscription, applications will be scaled back on a pro rata basis having regard to shareholdings as at the record date. If scaling applies, an applicant may receive fewer shares than the number applied for and may receive shares with an aggregate issue price of less than the minimum application amount. Any surplus application money will be refunded without interest.

The Capital Change Notice relates to the issue of 28,000,000 ordinary shares at an issue price of $0.25 per share, raising $7 million under the placement to institutional and wholesale investors announced on 6 July 2026 (refer https://www.nzx.com/announcements/475657).
The placement was initially undertaken to raise up to $5 million, with the Board retaining discretion to accept oversubscriptions of up to $2 million.
The placement was oversubscribed and was capped at $7 million.
As announced on 6 July 2026, the placement will be followed by a share purchase plan, under which eligible shareholders will have the opportunity to acquire shares at the same issue price as the placement.

Tāiko Critical Minerals Limited (Taiko or the Company) (NZX:TCM) advises that it is undertaking a capital raising, comprising:
an offer to select wholesale investors to raise up to $5 million (Placement), with Board discretion to accept oversubscriptions of up to $2 million; and
a share purchase plan (SPP) to eligible, existing New Zealand resident shareholders capped at $3 million.
The SPP will be launched once the Placement is completed.
